海外公司代表處設(shè)立
辦理香港及海外公司代表處首先必須具備中國駐當(dāng)?shù)仡I(lǐng)事館/司法部出具的中國公證人文件，另外一份則是銀行出具的資信證明表示公司運(yùn)作資金運(yùn)作良好、無不良記錄。
特別需要提醒的是:
首先,辦事處只能作為聯(lián)絡(luò)客人之用,不可以具體經(jīng)營,否則需要辦理中外合資或者外商獨(dú)資公司,其次,中國屬于地方性稅務(wù)政策比較強(qiáng),有的地方需要公司具備外籍人事持股才可以有合法境內(nèi)投資的外管局批文,就這一點(diǎn)需要在辦理前和外境委核實(shí)清楚,才開始具體委托我事務(wù)所辦理公證,最后VISA則是國內(nèi)的整套文件都處理好后在出入境管理中心辦理,
客戶需提供材料：
Materials supplied by client:
1.合法開業(yè)證明(開業(yè)證明及其公證認(rèn)證，即在當(dāng)?shù)毓C機(jī)關(guān)公證，再于中國大使館進(jìn)行認(rèn)證);(1份)
Incorporation Certificate and its Notarization Certificate at the local notary office, its certification at Chinese embassy;(one piece)
2投資方銀行資信證明;(1份)
Certificate of balance of the investment corporation from bank;(one piece)
3.租用辦公樓的租賃合同原件(租期一年以上)，駐在證明原件，指定辦公場所許可證復(fù)印件(加蓋大樓公章)，租賃證(原件及復(fù)印件加蓋公章);權(quán)利人身份證復(fù)印件并簽字;
注：該辦公樓應(yīng)屬外經(jīng)貿(mào)委認(rèn)可的樓宇范圍。
Lease Contract of the rent-office (The lease term should be at least one year); location certificate(original edition); specified office buiding certificate(one copy with the stamp); Acredited Lease Certificate (the original edition ane the copy with the stamp); The copy of the ID card of the property owner;
Attention:The foreign business office should be approved by the Shanghai Foreign Investment Commission;
4.擬派常駐代表的簡歷(常駐代表簽字)及身份證明(復(fù)印件，簽字);
The Resume of the planned Standing Representative (Signed by the Standing Representative) and his/her ID Card/passport (copies with the signature);
5.擬派常駐代表二寸彩照七張。
Seven color pictures of the planned Standing Representative (2 inches);
另有簽字材料有代理方準(zhǔn)備。
And other materials prepared by the agent.
注：若常駐代表是境外人，租房協(xié)議須先公證再備案。
Re:If the planned Standing Representative is not a Chinese,the lease agreement should be notified.
流程：
Procedures:
1.網(wǎng)上登記申請(10個(gè)工作日);
Apply on the net(10 working days);
2.工商注冊(材料齊全的情況下10 個(gè)工作日);
Registration at Shanghai Administration of Industry and Commerce (about 10 working days if the materials are fully prepared);
3.組織機(jī)構(gòu)代碼(2個(gè)工作日);
Organization Code (2 working days);
4.稅務(wù)登記(材料齊全的情況下約20個(gè)工作日);ij
Tax Registration (20 working days if the materials are fully prepared);
5.稅務(wù)登記地方落戶(材料齊全的情況下5個(gè)工作日)。
Local Settlement Formalities of Tax (5 working days if the materials are fully prepared).
